Sale-Leaseback Advisory for Business Owners
Growth capital from the real estate you own.
Sell your commercial property, lease it back, and put the proceeds toward your next stage of growth.
Little River Land works with you and your accountant to prepare the financial story, structure the sale and lease, bring the opportunity to qualified buyers through a private, competitive process, and negotiate the terms through closing.
For owners considering $2 million to $15 million real estate transactions in Alabama.
Why Consider a Sale-Leaseback
Your property can help fund what comes next.
You have built a successful business. An expansion, acquisition or investment in new capacity may require capital beyond what you want to commit from operating cash.
A sale-leaseback converts owned real estate into cash. You sell the property and enter into a lease so the business can continue operating there. The proceeds can support your plans without selling shares in the operating business as part of the transaction.
The right decision depends on the cash you receive, the rent you assume and the opportunities that capital can fund. We help you evaluate those choices before taking the transaction to buyers.
- What you sell
- The commercial real estate your business owns and occupies.
- What you keep
- Your operating business, and your place in the building under an agreed lease.
- What you take on
- Rent, increases, a lease term and the other obligations of a tenant. We put these beside the proceeds so you see the whole transaction.
- What it can fund
- Expansion, an acquisition, equipment or added capacity.
What Little River Adds
A clear financial story. A structured buyer process.
Preparation buyers can evaluate.
We work with your CPA or accountant to organize financial information and explain supported adjustments. Then we present the business and the property together, as one complete package that speaks the language buyers underwrite in.
A lease engineered around your objectives.
In a sale-leaseback, the lease does not exist until we write it with you. That gives us room to be creative with rent, increases, term and flexibility, driving toward your objectives while keeping the transaction attractive to buyers. We show sale proceeds beside each structure so you can see what it means for your business.
Term sheets in 10 days. Closing targeted in 45.
We identify and qualify prospective buyers, invite a focused group and ask them to price the same base lease terms by a ten-day deadline, so offers arrive together and compare cleanly. Alternative proposals are presented separately. From a signed purchase agreement, we target closing within forty-five days.
Negotiation and active management through closing.
We negotiate price and lease terms with buyers on your behalf, then coordinate requests, monitor deadlines and keep the remaining decisions visible as the transaction moves forward.
The Process
Prepare. Structure. Compete. Close.
Prepare the opportunity.
We start with your capital goals, business financials and property. Working with your accountant, we organize the information buyers need and identify issues to resolve before marketing.
Structure the transaction.
We develop the proposed sale and lease terms, evaluate expected proceeds and prepare the materials for your approval.
Run a private buyer process.
We identify buyers suited to the assignment and confirm the invitation list with you. Information is shared under confidentiality arrangements, with a defined deadline for terms. Our standard process uses a group of approximately twenty buyers or fewer.
Compare offers and manage closing.
We evaluate price, lease terms, funding and closing conditions together. Once you select a buyer, we coordinate diligence with your accountant, legal counsel and the buyer through closing.
Who We Help
Built for owners with a business to grow.
Our focus is established business owners who own and occupy commercial real estate and have a clear reason to put capital back into the business.
You may be planning an expansion, acquiring another operation, investing in equipment or increasing capacity. If you expect to remain in your current property, a sale-leaseback may be worth evaluating alongside your other capital options.
Questions
What owners ask first.
- Do we have to move?
- The leaseback allows your business to remain in the property under the agreed lease. We consider term, renewal rights and your future space needs as part of the transaction.
- Will our business be publicly marketed?
- Our process is directed to a selected buyer group. You approve the invitation list, and we coordinate the release of information under confidentiality arrangements.
- Do you work with our accountant?
- Yes. We coordinate with your CPA or accountant to organize the information buyers need and explain the financial story. Your accountant remains involved in the accounting and tax advice specific to your business.
- How much cash could we receive?
- That depends on the property, the business supporting the lease, the proposed terms and buyer interest. We also account for existing debt and transaction costs in the proceeds analysis; your accountant advises on taxes.
- How do you choose buyers?
- We assess prospective buyers for relevant investment criteria, funding capacity, transaction experience, approval requirements and ability to work within the proposed timetable.
- Is the highest offer always the best?
- Price is one part of the decision. Rent, increases, guarantees, lease flexibility, funding conditions and closing requirements also affect the outcome. We compare the complete offers so you can make an informed choice.
